New BOI Filing Deadline: Submit by January 13, 2025

In light of recent legal developments, the U.S. Court of Appeals for the Fifth Circuit has reinstated the requirement for most reporting companies to file Beneficial Ownership Information (BOI) reports with the Financial Crimes Enforcement Network (FinCEN). Businesses nationwide must now adhere to updated filing deadlines to remain compliant with the Corporate Transparency Act (CTA).

Key Reporting Deadlines

FinCEN has revised the BOI filing deadlines as follows:

  • Companies Created or Registered Before January 1, 2024: Must file BOI reports by January 13, 2025.

  • Companies Created or Registered On or After January 1, 2025: Must file BOI reports within 30 days of receiving actual or public notice that their creation or registration is effective.

Exceptions to Filing Requirements

Entities involved in specific legal cases, such as National Small Business United v. Yellen, including certain plaintiffs and members of the National Small Business Association, may not be required to report their BOI to FinCEN at this time.
